These Terms of Service (“Terms”) govern your access to and use of the website located at craft-music.com, together with any related applications, lesson tools, scheduling tools, messaging tools, lesson rooms, content, and other online services operated by Delphi Music Inc. dba Craft Music (“Craft Music,” “we,” “us,” or “our”) (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and any additional policies or disclosures that are presented to you in connection with specific features of the Service, including our Online Lesson, Communications, and Recording Policy. If you do not agree, do not use the Service.
If you are using the Service on behalf of a student, minor, business, school, or other organization, you represent that you have authority to bind that person or entity to these Terms.
1. Eligibility and Accounts
You may use the Service only if you can form a binding contract with us and are not prohibited from using the Service under applicable law.
If you create an account, you agree to provide accurate, current, and complete information and to keep it updated.
You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You must notify us promptly if you suspect unauthorized access to your account.
We may suspend, restrict, or terminate any account that is inaccurate, fraudulent, abusive, insecure, inactive for an extended period, or otherwise in violation of these Terms.
2. Parents, Guardians, and Minor Students
The Service may be used by adult students, parents, guardians, and teachers.
If you enroll or manage lessons for a minor, you represent that you are the minor’s parent or legal guardian or otherwise authorized to act on the minor’s behalf. You are responsible for the minor’s use of the Service, for supervising the minor where appropriate, and for providing all required permissions and consents.
Minor students may not independently create paid lesson relationships or otherwise use the Service except through a parent, guardian, or other authorized adult where required.
3. Nature of the Service
Craft Music provides an online platform for music education and related services. Depending on the feature, the Service may allow users to:
- browse or book online lessons,
- communicate with teachers,
- manage schedules,
- purchase subscriptions, lesson packages, or one-time lessons,
- upload materials or content,
- and access educational or account-related tools.
Craft Music may add, remove, modify, or discontinue features at any time.
We do not guarantee that any teacher will be available at any particular time, that any lesson will result in a particular educational outcome, or that the Service will always be available without interruption.
4. Teacher Marketplace / Independent Providers
Some lessons or services may be provided by independent teachers using the Craft Music platform.
Unless expressly stated otherwise in a separate written agreement, teachers offering lessons through the platform are independent providers and not employees of Craft Music.
Craft Music may facilitate teacher profiles, scheduling, messaging, lesson delivery tools, billing, and payouts, but Craft Music does not guarantee the conduct, compatibility, quality, or outcomes of any individual teacher or student relationship.
We reserve the right to approve, reject, rank, suppress, deactivate, or remove any teacher profile or lesson offering at any time.
5. Purchases, Billing, and Payment Authorization
If you purchase a lesson, subscription, package, or other paid offering through the Service, you agree to provide current, complete, and accurate payment and billing information.
You represent that you are authorized to use the payment method you submit.
We may use third-party payment processors to process transactions. By submitting payment information, you authorize us and our payment processors to charge the applicable amounts to your selected payment method, subject to these Terms and our Privacy Policy.
We reserve the right to refuse, cancel, or limit any transaction for reasons including suspected fraud, pricing errors, unauthorized activity, service availability, or violation of these Terms.
6. Subscriptions, Auto-Renewal, and Cancellation
Certain offerings may be billed on a recurring basis, such as monthly or annual subscriptions.
If you purchase a recurring subscription, you authorize recurring charges until you cancel. Your subscription will renew automatically at the end of each billing period unless canceled in accordance with the cancellation method we make available.
We may change subscription pricing on a prospective basis and will provide notice where required by law before the change takes effect.
7. Refunds, Credits, and Adjustments
Except where required by law or expressly stated otherwise, purchases are non-refundable.
Craft Music may, in its discretion, issue refunds, credits, partial credits, makeup opportunities, or billing adjustments in connection with cancellations, technical failures, duplicate charges, customer support resolutions, or other situations.
If we determine that abuse, fraud, chargeback misuse, or policy circumvention has occurred, we may deny refunds or credits and may suspend or terminate access to the Service.
8. Online Lessons, Communications, Monitoring, and Recordings
Online lessons, lesson rooms, messages, files, support exchanges, platform activity, and related communications may be monitored, reviewed, analyzed, and retained by Craft Music and its authorized service providers as described in our Privacy Policy and Online Lesson, Communications, and Recording Policy.
Certain lessons or lesson-related communications may also be recorded through authorized platform tools when recording is initiated by an authorized teacher, adult student, or parent/guardian of a minor student, as described in our policies.
By using the Service, booking lessons, joining lesson rooms, uploading files, sending messages, or otherwise participating in lessons, you consent to those practices as described in those policies.
If you do not consent, do not book or participate in online lessons through the Service.
9. Lesson Scheduling, Cancellations, and No-Shows
The Service may provide tools for scheduling, rescheduling, or canceling lessons. Availability may change at any time.
Lesson cancellations, reschedules, lateness, no-shows, makeup opportunities, and related issues may be governed by additional policies, checkout disclosures, or lesson-specific terms presented through the Service.
Craft Music reserves the right to:
- cancel or reschedule lessons,
- substitute teachers where appropriate,
- issue credits or refunds where appropriate,
- and determine how scheduling disputes are handled on the platform.
Repeated no-shows, repeated cancellations, abusive scheduling behavior, or misuse of the booking system may result in restrictions, suspension, or termination.
10. Acceptable Use
You may use the Service only for lawful purposes and in accordance with these Terms.
You agree not to:
- violate any law or regulation;
- exploit, harm, or attempt to exploit or harm minors;
- harass, threaten, intimidate, abuse, or discriminate against any user;
- impersonate another person or misrepresent your identity or authority;
- upload or transmit unlawful, infringing, defamatory, obscene, or harmful content;
- interfere with or disrupt the Service or its security;
- scrape, harvest, mine, or extract data from the Service;
- reverse engineer, decompile, or attempt to access source code except where prohibited by law from restricting that activity;
- send spam, junk mail, or unauthorized promotional materials;
- use the Service to facilitate fraud, unauthorized payments, or chargeback abuse;
- record lessons or communications outside the tools or permissions expressly authorized by Craft Music;
- or use the Service in any way that may harm Craft Music, its users, or its partners.
We may investigate suspected violations and may remove content, suspend access, cancel bookings, or terminate accounts based on suspected or actual violations.
11. User Content
The Service may allow you to post, upload, submit, transmit, store, or otherwise make available content, including text, images, audio, video, files, lesson materials, profile information, messages, reviews, and feedback (“User Content”).
You retain ownership of your User Content, but you grant Craft Music a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, display, perform, distribute, modify for formatting or technical purposes, and otherwise use your User Content as reasonably necessary to operate, improve, secure, support, and provide the Service.
You represent and warrant that:
- you own or control the necessary rights in your User Content;
- your User Content does not violate any law or third-party right; and
- your User Content is accurate to the extent it purports to describe you, your services, or your experience.
We may remove, refuse, or restrict User Content at any time.
12. Feedback
If you send us suggestions, ideas, enhancement requests, recommendations, or other feedback, you agree that we may use that feedback without restriction or compensation to you.
13. Intellectual Property
The Service, including its software, design, text, graphics, branding, interfaces, workflows, and other original content, is owned by Craft Music or its licensors and is protected by intellectual property laws.
Except as expressly permitted in these Terms, you may not copy, distribute, modify, publicly display, publicly perform, republish, download, store, transmit, or create derivative works from the Service.
“Craft Music,” related logos, and associated marks are trademarks or trade dress of Craft Music or its affiliates or licensors and may not be used without prior written permission.
14. Copyright Complaints / DMCA
If you believe that content on the Service infringes your copyright, please follow the process in our DMCA / Copyright Policy.
15. Privacy
Your use of the Service is also governed by our Privacy Policy.
16. Third-Party Services
The Service may contain links to third-party websites, integrations, processors, tools, or services. We do not control and are not responsible for third-party services, including their content, availability, policies, or practices.
Your use of third-party services is governed by their own terms and policies.
17. Termination and Suspension
We may suspend, restrict, or terminate your access to the Service, in whole or in part, at any time, with or without notice, for any lawful reason, including if we believe you have violated these Terms, created risk for other users, engaged in fraud or abuse, or interfered with the operation of the Service.
Upon suspension or termination, we may:
- deactivate your account,
- remove or hide content,
- cancel or reassign bookings,
- block future access,
- deny refunds or credits where appropriate,
- and take any other internal enforcement steps we consider appropriate.
Sections that by their nature should survive termination will survive, including sections on payment obligations, intellectual property, feedback, disclaimers, limitation of liability, indemnification, dispute terms, and enforcement rights.
18. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRAFT MUSIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
- LESSONS WILL ALWAYS BE AVAILABLE;
- ANY USER WILL ACHIEVE ANY PARTICULAR RESULT; OR
- ANY CONTENT OR COMMUNICATION WILL BE COMPLETE, ACCURATE, OR ERROR-FREE.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRAFT MUSIC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS, CONTRACTORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF CRAFT MUSIC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO CRAFT MUSIC THROUGH THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
- $100.
20. Indemnification
You agree to defend, indemnify, and hold harmless Craft Music and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising out of or related to:
- your use of the Service;
- your User Content;
- your violation of these Terms;
- your violation of any law or third-party right; or
- your fraud, misconduct, negligence, or misuse of the Service.
21. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Los Angeles County, California, unless applicable law requires otherwise, and you consent to personal jurisdiction in those courts.
22. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the “Last Updated” date above. Your continued use of the Service after the updated Terms become effective means you accept the updated Terms.
23. General Terms
These Terms, together with any additional terms properly incorporated by reference and our Privacy Policy, form the entire agreement between you and Craft Music regarding the Service.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision is not a waiver of that provision.
You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets, or otherwise as permitted by law.
